1. Scope

The following Terms and Conditions (Terms) apply to all orders placed via our online shop. These Terms also apply to businesses for future commercial relations without the need for any formal expression thereof. Unless expressly approved by us to the contrary, we cannot accept the contractual validity of any conflicting or complementary general terms and conditions used by any business.

2. Contractual Partner, Formation of Contract, Options for Corrections

The contract is concluded with stilform GmbH. By placing the products in the online shop, we make a binding offer to enter into a contract regarding those items. You may place products in the shopping basket without obligation and amend your entries at any time before submitting your binding order. The contract is formed by clicking on the order button. Once you have sent your order, you will immediately receive a confirmation via e-mail.

3. Contract Language, Saving of the Contract Text

The contract can be concluded in German or English. We save the contract text and forward the order data and our Terms and Conditions to you on a durable medium. You may also view the contract text in your customer login area.

4. Delivery Conditions

Delivery costs may apply and are explained within individual product offers. We only dispatch goods en route; pick-up by the customer is not possible.

5. Payment

The following payment methods are available in our online shop:

• Advance Payment: We provide our bank details in a separate email and deliver the goods upon receipt of funds.
• Credit Card: Your card will be charged immediately after placing your order.
• SEPA Direct Debit: By placing an order, you grant us a SEPA direct debit mandate. We will notify you in advance of the charge.
• PayPal & PayPal Express: Requires a PayPal account. The payment is processed immediately after placing the order.
• PayPal Plus: Offers additional payment options like PayPal, direct debit, and invoice payment via PayPal.
• SOFORT by Klarna: Payment via online banking. Your account is charged immediately after order placement.
• Google Pay & Apple Pay: Payment is processed immediately after placing the order.
• giropay / paydirekt: Payment via online banking. The account is debited immediately after order placement.
• Amazon Pay: Requires an Amazon account. Payment is processed within one banking day.
• Klarna: Includes purchase on account, installment financing, direct debit, and credit card options via Klarna PayNow.
• Invoice Payment: Payment is due within 30 days upon receipt of the invoice and goods.
• Shop Pay (Shopify Payments): Secure payment through Shopify’s system.

6. Right to Cancel

Consumers are entitled to the statutory right to cancel, as described in our cancellation policy. Businesses are not granted a voluntary right to cancel.

7. Retention of Title

Goods remain our property until full payment is made. For businesses, we retain ownership until all claims from a current business relationship are settled.

8. Damage During Delivery

If goods arrive with obvious transport damage, report the defect to the carrier and notify us immediately. This helps us assert claims against the carrier or transport insurer.

9. Warranty and Guarantees

9.1 Liability for Defects

We are legally required to supply products that conform to this contract. Statutory warranty provisions apply.

For businesses, the limitation period for defect claims in newly manufactured goods is one year from the transfer of risk. The sale of used goods is subject to the exclusion of any warranty. The statutory limitation periods for the right of recourse according to § 445a BGB remain unaffected.

9.2 Guarantees and Customer Service

10. Liability

We are fully liable for damages caused by us, our legal representatives, or agents in cases of:

• Injury to life, limb, or health
• Deliberate or grossly negligent breach of duty
• Guarantee commitments, where agreed
• Consumer protection rights

Except in these cases, liability is limited to foreseeable and direct damages at the time of contract conclusion.

11. Online Dispute Resolution

The European Commission provides an online dispute resolution (ODR) platform at https://ec.europa.eu/consumers/odr/. Consumers can contact their national European Consumer Centre for assistance.

12. Final Provisions

If you are a business, German law applies, excluding the UN Sales Convention. If you are a merchant under the German Commercial Code (HGB), the exclusive legal jurisdiction for all disputes is our registered office.
